寄售協(xié)議
Agreement of Consignment
A公司，注冊(cè)地在中國(guó)________（以下簡(jiǎn)稱寄售人），與B公司，注冊(cè)地在_____________(以下簡(jiǎn)稱代售人)，按下列條款簽訂本協(xié)議：
This Agreement is entered into between _____________Co. (hereinafter referred to as Consignor), having its registered office at______________, China and ______________Co. (hereinafter referred to as the Consignee), having its registered office at ________________, on the following terms and conditions;
1.寄售人將不斷地把________(貨物)運(yùn)交給代售人代售。貨物價(jià)格為CIF市價(jià)，約隔90天交一次。
This Consignor shall from time to time ship______________________（commodity） to the consignee on Consignment basis at the prevailing international market prices on CIF terms. The interval between each shipment shall be approximately ninety days.
2.代售人在征得寄售人對(duì)價(jià)格、條款等的同意之后，必須盡力以最好的價(jià)格出售寄售商品。
The Consignee must try to sell the consignments at the best possible prices after obtaining the approval of the Consignor as to price, terms, etc.
3.開始階段，每次船運(yùn)貨物的價(jià)格不得超過(guò)___________美元，代售人未償付的貨款不能超過(guò)_____________美元。
Each shipment by ship at the initial stage will not exceed U.S.D____________ and the outstanding liabilities on the Consignee shall be in the vicinity of not more than U.S.D.________ only.
4.寄售人對(duì)賒銷造成的壞賬不負(fù)任何責(zé)任，代售人在任何時(shí)候均負(fù)有支付寄售人貨款的義務(wù)。
The Consignor shall at no time be responsible for any bad debts arising out of credit sales to any _____ buyers. Making payments to the Consignor shall at all times be the sole responsibility of the Consignee.
5.代售人將接受寄售人開立的以代售人為付款人的90天遠(yuǎn)期匯票，年利__________ %。
The consignee shall accept the Bills of Exchange drawn by the Consignor on him at 90 days’ sight with interest payable at___________ % per annum.
6.代售人以簽字信托收據(jù)從寄售人銀行換取包括提單在內(nèi)的裝運(yùn)單據(jù)。
The Consignee shall collect the shipping documents including B/L from the Consignor’s bank against Trust Receipt duly signed by the Consignee.
7.寄售人負(fù)擔(dān)貨物售出之前的保險(xiǎn)費(fèi)和倉(cāng)儲(chǔ)費(fèi)。
The Consignor shall absorb insurance premium and warehousing charges up to the date of delivery to customers.
8.仲裁：
Arbitration:
凡因本協(xié)議引起的或與本協(xié)議有關(guān)的任何爭(zhēng)議應(yīng)協(xié)商解決。若協(xié)商不成，應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)深圳分會(huì)，按照申請(qǐng)仲裁時(shí)該會(huì)現(xiàn)行有效的仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的， 對(duì)雙方均有約束力。
Any dispute arising from or in connection with the Contract shall be settled through friendly negotiation. In case no settlement is reached, the dispute shall be submitted to China international Economic and Trade Arbitration Commission (CIETAC), Shenzhen Commission, for arbitration in accordance with its rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties.
9.本協(xié)議用中英文倆種文字寫成，倆種文字具有同等效力。本協(xié)議共___________份，自雙方代表簽字（蓋章）之日起生效。
This Contract is executed in two counterparts each in Chinese and English, each of which deemed equally authentic. This contract is in __________ copies, effective since being signed/ sealed by both parties.
